Software License & Service Agreement

SOFTWARE LICENSE & SERVICE AGREEMENT

This Agreement is entered into between:

StayOps Pro (“Provider”)
and
[Hotel / Franchise Name] (“Client”)

1. Scope of Service

Provider grants Client access to a cloud-based platform for managing housekeeping, maintenance, and staff operations across one or more hotel properties.

2. License

Client is granted a non-exclusive, non-transferable license to use the software for internal business operations only.

3. Fees

Client agrees to pay:

  • $_____ per property per month, OR
  • Custom enterprise pricing as agreed

Payments are billed monthly via Stripe.

4. Term

This Agreement begins on the date of execution and continues on a month-to-month basis unless terminated.

5. Termination

Either party may terminate with 30 days written notice.

6. Responsibilities

Client is responsible for:

  • Staff training and usage
  • Accuracy of entered data
  • Compliance with all local laws and regulations

7. Limitation of Liability

Provider shall not be liable for:

  • Operational errors
  • Missed maintenance or housekeeping tasks
  • Any indirect or consequential damages

8. Data & Privacy

Client retains ownership of its operational data. Provider agrees to maintain reasonable security measures.

9. Intellectual Property

The software remains the sole property of the Provider.

10. Governing Law

This Agreement is governed by the laws of the State of Wisconsin.
